Terms of Service

1. Acceptance of Terms

MannaSync Solutions Inc. ("MannaSync," "we," "us," or "our") operates the Corterve platform ("Corterve," the "Service"). By accessing, browsing, registering for, or otherwise using the Service, you agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, and our HIPAA Compliance practices, each of which is incorporated by reference. If you do not agree to these Terms, do not access or use the Service.

2. Description of the Service

Corterve is a B2B2C Community Engagement Infrastructure platform for clinical research. For patients (B2C), Corterve provides 100% free trial discovery, plain-language health guidance, and local community event matching. For sponsors, research sites, and contract research organizations ("CROs") (B2B), Corterve provides turnkey Community Connect infrastructure — proprietary event-matching, Corterve Event Kits (branded merchandise fulfillment), and Concierge Event Ops & Design. We also match patients with trials based on self-reported assessments and facilitate consented introductions to research sites.

You expressly acknowledge and agree that:

  • MannaSync is not a healthcare provider and does not practice medicine.
  • The Service does not provide medical advice, diagnosis, or treatment, and is not a substitute for the judgment of your physician or other qualified health professional.
  • MannaSync is not a party to any clinical trial and does not conduct, sponsor, or oversee any study.
  • Final eligibility and enrollment decisions are made solely by the applicable research site under its own protocol and IRB-approved informed consent process. A match through Corterve is not an offer of, or guarantee of, participation.

3. Eligibility

You must be at least 18 years of age to create an account and use the Service on your own behalf. Individuals under 18 may only be enrolled in the Service by a parent or legal guardian who accepts these Terms on the minor's behalf and provides all required consents. By using the Service, you represent that you meet these requirements and that all information you provide is truthful and accurate.

4. Accounts & Security

To access certain features, you must create an account. You agree to:

  • Provide accurate, current, and complete information and keep it up to date
  • Maintain the confidentiality and security of your account credentials
  • Notify us immediately at support@corterve.com of any unauthorized access or suspected breach
  • Accept responsibility for all activities that occur under your account

5. Patient Obligations

If you use the Service as a patient or prospective participant, you agree to provide accurate and complete health, demographic, and contact information, and to promptly update it if it changes. You understand that the accuracy of your information directly affects matching results and that research sites rely on the information you provide. Providing false or misleading information may result in ineligibility and termination of your account.

6. Organization & Recruiter Terms

If you access the Service as a sponsor, research site, CRO, or other organization (each, an "Organization"), you additionally represent and warrant that:

  • You are duly authorized to recruit participants for each study you post or manage on the Service.
  • Every study is conducted under valid Institutional Review Board (IRB) or ethics committee oversight and in compliance with all applicable laws and Good Clinical Practice.
  • You will use patient referrals and any information received through the Service solely for the specific study to which the patient consented, and not for any secondary or unauthorized purpose.
  • You will obtain and maintain IRB-approved informed consent before enrolling any referred participant.

Organization use of the Service is further governed by the separate Corterve Recruiter Agreement executed with MannaSync. In the event of a conflict, the Recruiter Agreement controls for Organizations with respect to its subject matter.

7. Fees, Event Wallet & Merchandise Fulfillment

Patients never pay Corterve anything. Free B2C trial discovery, plain-language health guidance, local event matching, AI-powered matching, alerts, site contact information, and consented referrals are free to patients, and Corterve does not offer, and will not introduce, a paid patient tier.

For research sites, sponsors, and CROs, charges under Community Connect are tied to Event Wallet credit usage and B2B merchandise fulfillment, including:

  • Event Wallet credits — prepaid credits used to order Corterve Event Kits; top-ups are pay-as-you-go purchases processed via Stripe
  • Corterve Event Kits — branded merchandise and materials ordered for specific community events, fulfilled through Corterve's merchandise fulfillment partners
  • Concierge Event Ops & Design — design fees for event materials requested through the Service (priced per request)
  • Per-event participation and multi-site Community Connect engagements for sponsors, at fees agreed in writing before work begins

A research site is never charged per referral, per qualified candidate, per accepted candidate, or per enrollment. Community Connect Local Community Activation is available with your organization account; Event Kits and Concierge services are billed as described above.

Fees payable by Organizations are stated in U.S. dollars, exclusive of applicable taxes, and processed through our third-party payment processor, Stripe, unless otherwise agreed in a written statement of work. Except where required by law, purchase fees (including Event Wallet top-ups and fulfilled merchandise) are non-refundable once goods or services have been ordered or delivered. We may change published product pricing prospectively upon reasonable notice; changes will not affect completed orders already paid.

8. Acceptable Use

You may not, and may not permit others to:

  • Provide false, misleading, or fraudulent information
  • Access, use, or attempt to access another user's account or data
  • Use referrals or patient information for any purpose other than the consented study
  • Interfere with, disrupt, probe, or reverse engineer the Service or its security
  • Scrape, harvest, or collect user data without authorization
  • Scrape, harvest, export, or use automated tools to extract event listings, community data, engagement opportunities, supplier information, or any other curated content from the Corterve platform
  • Upload malware or engage in any unlawful, harassing, or discriminatory conduct
  • Violate any applicable law, regulation, or third-party right

8A. Anti-Circumvention & Platform Integrity

Client acknowledges that Corterve's proprietary event-matching algorithms, fulfillment workflows, curated community network, and manufacturing partner relationships constitute the exclusive trade secrets of MannaSync Solutions Inc. Client agrees NOT to:

  • Use the Corterve platform to discover, identify, or contact community events, venues, or organizers, and then attempt to engage those entities directly outside of the Corterve platform
  • Use the Corterve platform to identify manufacturing or fulfillment partners, and then attempt to source products directly from those partners
  • Reverse engineer, decompile, or otherwise attempt to extract the underlying data, algorithms, or supplier relationships that power the Corterve platform
  • Use bots, spiders, scrapers, or manual extraction methods to copy, harvest, or export the curated event listings, community data, or engagement opportunities provided through the platform

Violation of this section constitutes a material breach and may result in immediate termination of access and liability for damages.

9. Intellectual Property

The Service, including its software, design, text, graphics, logos, and the Corterve name and marks, is owned by MannaSync or its licensors and is protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose. You retain ownership of the content and information you submit and grant MannaSync a license to use it to operate and provide the Service.

9A. Trade Secrets & Proprietary Methods

The following are recognized as the exclusive trade secrets and proprietary intellectual property of MannaSync Solutions Inc.:

  • The event-matching algorithms and community curation methodology
  • The network of manufacturing and fulfillment partners
  • The Event Kits production workflow and supply chain orchestration
  • The Community Connect engagement infrastructure and deployment methodology
  • The Concierge Event Ops & Design service workflow

These trade secrets are protected under applicable federal and state law, including the Defend Trade Secrets Act (18 U.S.C. § 1836). Unauthorized use, disclosure, or duplication of these trade secrets is strictly prohibited.

10. Third-Party Services

The Service relies on third-party providers (including Google Cloud for hosting, Stripe for payments, Twilio for SMS, and Hostinger for email) and may link to third-party websites or resources. We do not control and are not responsible for third-party services, and your use of them may be subject to their own terms.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT YOU WILL BE MATCHED WITH, CONTACTED BY, OR ACCEPTED INTO ANY CLINICAL TRIAL, OR THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE. WE DO NOT GUARANTEE THE ACCURACY, SAFETY, OR EFFICACY OF ANY CLINICAL TRIAL OR THE CONDUCT OF ANY RESEARCH SITE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MANNASYNC SOLUTIONS INC. AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATING TO YOUR USE OF THE SERVICE. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE GREATER OF THE AMOUNTS YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM OR ONE HUNDRED U.S. DOLLARS ($100).

13. Indemnification

You agree to defend, indemnify, and hold harmless MannaSync Solutions Inc. and its affiliates from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your content or information, your violation of these Terms, or your violation of any law or third-party right.

14. Termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access, with or without notice, if we believe you have violated these Terms or to protect the Service or other users. Upon termination, the provisions that by their nature should survive (including intellectual property, disclaimers, limitation of liability, indemnification, and governing law) will survive.

15. Governing Law

These Terms are governed by the laws of the State of Ohio, USA, without regard to its conflict-of-laws principles. You agree to the exclusive jurisdiction of the state and federal courts located in Ohio for any dispute not subject to an alternative resolution process.

16. Changes to These Terms

We may modify these Terms from time to time. We will update the "Last updated" date above and, for material changes, provide notice by email or through the Service. Your continued use of the Service after changes take effect constitutes acceptance of the modified Terms.
